These Terms of Service ("Terms") govern your access to and use of the services, websites, and applications provided by FactBinder, operated out of the European Economic Area (EEA) ("we," "us," or "our"). By accessing or using our Service, you agree to be strictly bound by these Terms, as well as our Privacy Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the unequivocal authority to bind such entity to these Terms. If you do not possess such authority, or if you do not agree with these Terms, you must not accept these Terms and may not access the Service.
FactBinder operates as an algorithmic document organization and timeline extraction tool ("Service"). The Service utilizes advanced natural language processing (including artificial intelligence) to parse unstructured text inputs (such as emails, instant messaging exports, and notes) provided by the user.
You must provide accurate, current, and complete information during the registration process. You are wholly responsible for safeguarding your authentication credentials and restricting unauthorized access to your devices.
By transmitting or uploading data to the Service, you represent and explicitly warrant that:
Your Data: We claim no intellectual property rights over the raw data you upload or the factual timelines extracted from that data. Your case materials remain your exclusive property.
Our Service: The algorithms, UI/UX designs, branding, source code, and underlying architecture of FactBinder are the exclusive property of our operating entity and are protected by applicable intellectual property laws. You are granted a limited, personal, non-transferable, and revocable license to use the Service in accordance with your subscription tier.
Access to premium features (the "Standard" or "Advanced" tiers) requires payment of subscription fees. Fees are billed in advance on a recurring monthly or annual schedule. All fees paid are strictly non-refundable except where legally mandated by EU Consumer Directives.
You may cancel your subscription at any time. Upon cancellation, you will retain access to your tier's features until the end of your current billing cycle. Failure to pay will result in the immediate downgrade of your account to the Trial tier, subject to its stringent limits.
To the absolute maximum extent permitted by applicable law, in no event shall FactBinder, its officers, directors, employees, or affiliates be strictly or vicariously liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, loss of a legal case, judicial sanctions, or loss of data arising out of or directly related to the use of, or inability to use, this Service.
You agree to indemnify, defend, and hold harmless FactBinder from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your upload of non-consensual electronic communications.
We reserve the right to modify or discontinue the Service (or any part thereof) with or without notice at any time. We also reserve the right to revise these Terms from time to time by posting the revised Terms on this webpage. Your continued use of the Service following any changes constitutes your binding acceptance of the new Terms.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ireland (EU), without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be subject to the exclusive jurisdiction of the courts located in Dublin, Ireland.
